Our banking attorneys have extensive experience counseling banks with respect to various regulatory matters, including the formation of state-chartered commercial banks and thrifts, the conversion of mutual savings banks to stock form, bank mergers, the sale and purchase of bank branches and deposits, and the sale of securities evidencing interests in pools of mortgages and other types of bank loans. We have advised as to the applicability and interpreted the regulations of various banking regulatory agencies, including the Federal Reserve Board, Federal Deposit Insurance Corporation and New York Banking Department. We have also assisted with the design and adoption of employee benefit plans, including stock option plans. Our representation of financial institutions with regulatory matters has included credit unions, mortgage bankers and brokers, and licensed check cashing companies.
